How to Register a Company in India Using SPICe+ Form

What is SPICE+?

SPICe+ refers to (Simplified Proforma for Incorporating Company Electronically Plus)

Meaning: SPICe+ is the all-in-one digital form used to register a company in India — combining multiple government registrations into one seamless process.

It was introduced by the Ministry of Corporate Affairs in India to help businesses incorporate a company in India through a single integrated form.

Key Feature: It combines incorporation with multiple statutory registrations, reducing time, duplication, and procedural friction. It is fully digital and centralized on the MCA V3 portal.

Earlier Vs Now:  Before SPICe+, businesses had to fill out different forms for company registration, name approval, tax registrations, and other compliance requirements. SPICe+ brings all of that together, making India one of the fastest and most efficient places to incorporate a business in the world.

SPICe+ Part A and Part B

If you want to set up a company in India or register a company in India from any part of the world, you must complete these two stages in sequence — first Part A (for name reservation) and then Part B (for incorporation and related registrations).

SPICe+ Part A

SPICe+ Part A is the first step in the company incorporation process. It is mainly used for reserving the company name. Under Indian law, a company name must be:

  • Unique
  • Not identical or too similar to an existing company name
  • Not infringing any registered trademark

But how do you check whether your proposed name is available?

SPICe+ Part A allows applicants to propose up to two names. These names are reviewed by the authorities for compliance with naming rules under the Companies Act, 2013, before you can proceed to incorporation in Part B.

Once approved, the name is reserved for a limited period, during which you must complete the incorporation process.

SPICe+ Part B

SPICe+ Part B is used for the actual company incorporation and mandatory statutory registrations. It can be filed after the company name is approved through SPICe+ Part A.

Once your name is approved, SPICe+ Part B operates in an integrated, single-window mode to complete all incorporation procedures. It enables the following:

  • Allotment of DIN (if applicable)
  • PAN and TAN generation
  • GST registration (through linked form)
  • EPFO & ESIC registration
  • Bank account opening

SPICe+ Part B is mandatory for all new company registrations in India and completes the legal incorporation process through the Ministry of Corporate Affairs.

In Short:

  • Part A = Name Reservation
  • Part B = Company Incorporation + Government Registrations

Who needs to fill the SPICe+ form?

Anyone who wants to register their business as a company in India under the Companies Act, 2013 must mandatorily file the SPICe+ form, which includes:

✔ Foreign nationals
✔ Non-resident Indians (NRIs)
✔ Overseas companies setting up subsidiaries or branches
✔ Startups and tech companies
✔ SMEs

However, certain entities like Limited Liability Partnerships (LLPs) must use different web forms (like FiLLiP), not SPICe+

SPICe+ Registration Process Step by Step

Here is the complete procedure of SPICe+ web form filing:

Step1: MCA SPICe+ login

The first and foremost step is to log in to the Ministry of Corporate Affairs (MCA) portal by creating a Business User Account.

This login will allow you to access and file the SPICe+ (Simplified Proforma for Incorporating Company Electronically Plus) application for company incorporation.

Step 2: Start Filing Part A: Company Name Reservation

In Part A, you need to propose up to two desired company names. At this stage, your name will be approved only if it complies with the guidelines prescribed under the Companies Act. The approval process typically takes 1–3 working days.

Professional Tip: Choose a unique name, aligned with your brand identity, and fully compliant with MCA naming conventions to avoid rejection or resubmission.

Step 3: Obtain DSC (Digital Signature Certificate)

Businesses need to obtain a Digital Signature Certificate (DSC) for all proposed directors to sign the forms digitally. It is an essential requirement for submitting the application on the MCA portal.

Step 4: SPICe+ Part B: Incorporation Details

After the name approval, you need to complete the details in part B within 20 days. Now, what is included in part B:

 A. Capital Structure

  • Authorized capital
  • Subscribed capital
  • Equity / Preference share details
  • At least one share type must have a value > 0

B.  Registered Office Details

  • Either the correspondence address or the registered office address is required
  • If the correspondence address is used initially, the registered office must be confirmed later
  • A utility bill not older than 2 months is mandatory
  • All MCA communication is electronic — a valid and unique email ID is required

 C. Directors & Subscribers

Current Limits:

Company Type Minimum Directors
OPC 1
Private Company 2
Public Company 3

Other Key Rules:

  • Maximum number of directors allowed is 15
  • Directors without DIN cannot exceed 3
  • DIN is allotted automatically upon approval

KYC norms: If the director already holds a valid DIN and is KYC compliant, no additional requirements are needed. However, PAN and Aadhaar are mandatory for an Indian director, and a valid passport is required for a foreign national.

 D. PAN & TAN Module

  • Basic details are auto-transmitted to the Income Tax system.
  • The source of income must be selected.
  • Business/Profession code required for business income category.

PAN & TAN are issued automatically after approval.

Step 5: Generate Linked Forms (Integrated Forms Under Part B)

The SPICe+ India incorporation process includes the following forms that must be completed and filed:

  • e-MOA (INC-33): Electronic Memorandum of Association.
  • e-AOA (INC-34): Electronic Articles of Association. Mandatory in most cases, except for certain specified scenarios involving foreign subscribers
  • INC-9 (Declaration): It is an auto-generated form based on subscriber/director details in Part B, and in certain cases, for foreign nationals, it needs to be filled out manually.
  • AGILE-PRO-S (INC-35): Various registrations linked form for:
    • GST
    • EPFO
    • ESIC
    • Professional Tax (required in 21 states in India, for example: Maharashtra, Tamil Nadu)
    • Bank Account
    • Shop & Establishment Registration

Important:

  • Must be digitally signed by the same director who signs SPICe+.
  • An authorized signatory must be an Indian resident with a PAN.

Step 6: Upload the Documents and Submit Them

Attach all required documents, after verifying all details, digitally sign, and submit the forms on the MCA portal.

Step 7: Pay the Necessary Registration Fees

Pay Government filing fees (if applicable), Stamp duty (state-wise), PAN & TAN processing fees. Payment is made online through the MCA system.

Step 8: Obtain CoI

Upon successful verification by the Registrar of Companies, once the CoI is issued, your company becomes a legally registered entity in India under the Companies Act, 2013.
